THE PLATFORM IS NOT INTENDED FOR MEDICAL EMERGENCIES. IF YOU ARE EXPERIENCING A MEDICAL EMERGENCY, CALL 911 IMMEDIATELY OR SEEK CARE FROM THE NEAREST EMERGENCY MEDICAL PROVIDER. DO NOT USE THE PLATFORM FOR EMERGENCY, URGENT, OR LIFE-THREATENING CONDITIONS, INCLUDING CHEST PAIN, SHORTNESS OF BREATH, SEVERE ALLERGIC REACTIONS, SUICIDAL THOUGHTS, OR OTHER CONDITIONS REQUIRING IMMEDIATE IN-PERSON CARE.

These Terms and Conditions (“Terms”) govern your access to and use of the SabaRX platform, website, applications, communications, and related services (collectively, the “Platform” or “Services”).

 

The terms “SabaRX,” “Platform,” “we,” “us,” and “our” refer to FourConcept Marketing, LLC d/b/a SabaRX, located at 30 Overbrook Lane, Glen Head, NY 11545.

 

PLEASE READ THESE TERMS CAREFULLY BEFORE USING THE PLATFORM OR SERVICES.

 

THIS AGREEMENT CONTAINS A MANDATORY ARBITRATION AGREEMENT AND CLASS ACTION WAIVER THAT AFFECT YOUR LEGAL RIGHTS. BY USING THE PLATFORM, YOU AGREE TO THESE TERMS.

I. Introduction

FourConcept Marketing, LLC d/b/a SabaRX is a technology, administrative, communication, patient engagement, and payment facilitation platform. SabaRX does not practice medicine, provide medical care, diagnose medical conditions, prescribe medications, dispense medications, operate a pharmacy, or control clinical decision-making.


All Healthcare Services are provided solely by independent licensed healthcare providers and independent professional medical entities exercising their own independent professional judgment.


By accessing or using the Platform, you acknowledge that you have read, understood, and agree to be legally bound by these Terms and our Privacy Policy.


By using the Platform, you consent to receive electronic communications, disclosures, notices, emails, and text messages from SabaRX, participating healthcare providers, pharmacies, and service providers.

II. Modifications to Terms

We reserve the right to modify these Terms at any time. Updated Terms will become effective immediately upon posting. Your continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

III. Description of Services

You understand and agree that the Platform facilitates certain administrative, communication, technology, and coordination services, including:

  1. Collection and transmission of healthcare-related information for use by independent licensed healthcare providers;
  2. Administrative support related to scheduling, payment processing, account management, and communications;
  3. Coordination support for prescription fulfillment, laboratory services, and diagnostic testing through independent licensed pharmacies and third-party service providers; and
  4. Telecommunications and technology support enabling users to communicate with independent licensed healthcare providers and independent professional medical entities regarding consultations, assessments, treatment recommendations, and related Healthcare Services.

 

You understand that the Platform collects information you voluntarily provide, including health-related information, medications, medical history, diagnostic information, demographic information, and other personal information (“Your Information”).


Your Information may be transmitted to independent licensed healthcare providers, pharmacies, laboratories, payment processors, and authorized service providers as necessary to facilitate Services and Platform operations.


All Healthcare Services available through the Platform are provided exclusively by independent licensed healthcare providers and independent professional medical entities exercising independent professional judgment.


FourConcept Marketing, LLC d/b/a SabaRX does not provide Healthcare Services and is not licensed to practice medicine or pharmacy.

 

Use of the Platform, submission of medical information, participation in a consultation, or payment for services does not guarantee that a prescription will be written, renewed, adjusted, continued, or dispensed.


All prescribing decisions are made solely by independent licensed healthcare providers based on professional judgment, applicable law, and patient appropriateness.


Prescription medications, if prescribed, may be fulfilled by independent licensed pharmacies. SabaRX is not a pharmacy and does not manufacture, compound, dispense, distribute, or control prescription medications.


Medication availability, pricing, pharmacy participation, and fulfillment timelines may vary.


Certain medications discussed or prescribed through participating healthcare providers may be compounded medications when permitted by applicable law. Compounded medications are not approved by the U.S. Food and Drug Administration (“FDA”). Compounded medications are prepared by licensed pharmacies to meet individualized patient needs and may differ from commercially available FDA-approved medications.


Patients should discuss risks, benefits, alternatives, and medication availability directly with their healthcare provider and dispensing pharmacy.

IV. Eligibility

To use the Platform and Services, you must:

  1. Be at least 18 years old;
  2. Reside in a jurisdiction where the Services are legally available;
  3. Agree to comply with these Terms;
  4. Provide accurate and complete information; and
  5. Have access to compatible internet-enabled devices.

 

Healthcare Services are only available in states where participating healthcare providers are appropriately licensed.


Availability may change at any time without notice.

V. User Accounts

You are responsible for maintaining the confidentiality of your username and password and for all activities occurring under your account.


You agree to provide accurate, current, and complete information and to update such information as necessary.


You may not:

  • Create multiple accounts;
  • Share your login credentials;
  • Access another user’s account; or
  • Use the Platform for another person.

 

We reserve the right to suspend or terminate accounts for violations of these Terms.

VI. Privacy and User Data

SabaRX may collect, use, disclose, transmit, store, and process User Data solely as reasonably necessary to:

  • operate the Platform;
  • facilitate Healthcare Services;
  • coordinate payment processing;
  • communicate with users;
  • improve Platform functionality;
  • comply with legal obligations; and
  • as otherwise described in the Privacy Policy.

 

To the extent applicable, protected health information (“PHI”) will be handled in accordance with applicable federal and state privacy laws, including HIPAA.

 

Independent healthcare providers and professional medical entities providing Healthcare Services may provide separate Notices of Privacy Practices governing medical records and healthcare-related information associated with Healthcare Services.

VII. Your Responsibilities

You agree that:

  • All information you provide is truthful and accurate;
  • You will maintain the security of your account;
  • You will promptly notify us of unauthorized account activity;
  • Healthcare providers rely upon the accuracy of your information;
  • Failure to provide complete information may prevent Healthcare Services; and
  • Telehealth services may not be appropriate for all conditions or patients.

 

Certain medical conditions may require in-person evaluation, emergency care, laboratory testing, or ongoing treatment with a local healthcare provider.

VIII. Restrictions on Use

You agree not to:

  • Use the Platform unlawfully;
  • Misrepresent your identity;
  • Attempt unauthorized access;
  • Interfere with Platform security;
  • Upload malware or harmful code;
  • Copy or commercially exploit Platform content;
  • Use automated systems to scrape data; or
  • Use the Platform to compete with SabaRX.

IX. Limited License

Subject to these Terms, SabaRX grants you a limited, revocable, non-transferable, non-exclusive license to access and use the Platform solely for personal, non-commercial use.

 

All intellectual property rights remain the property of FourConcept Marketing, LLC and its licensors.

X. Medical Disclaimer

The Platform and Services are not intended to replace a primary care provider or qualified healthcare professional.

 

Always seek the advice of a qualified healthcare provider regarding any medical condition, diagnosis, medication, or treatment decision.

 

Never disregard professional medical advice or delay seeking treatment because of information obtained through the Platform.

 

The information provided through the Platform is for informational and educational purposes only and is not medical advice.

XI. Telehealth Consent

Telehealth services involve the use of electronic communications to enable healthcare providers to diagnose, consult, treat, educate, and prescribe remotely.

 

By using the Platform, you acknowledge and agree that:

  • Telehealth has limitations and risks;
  • Technology failures may occur;
  • Certain conditions may require in-person treatment; and
  • Healthcare providers determine whether telehealth is appropriate.

 

You may be required to separately sign a Telehealth Informed Consent before receiving Healthcare Services.

XII. Payment and Refund Policy

You agree to pay all applicable fees associated with the Services.

 

Medical consultation fees are charged for professional time and evaluation services provided by independent healthcare providers and are generally non-refundable once services have been rendered.

 

Payment does not guarantee that Healthcare Services will be provided or that a prescription will be written, renewed, or dispensed.

 

Prescription medication charges may vary based on:

  • medication prescribed;
  • dosage;
  • pharmacy selected;
  • shipping fees;
  • taxes; and
  • medication availability.

 

Due to pharmacy and prescription regulations, prescription medications generally cannot be returned for reuse or resale once dispensed, except where required by law.

 

SabaRX uses secure third-party payment processors including Stripe.

XIII. Third-Party Services

The Platform may contain links to third-party websites, pharmacies, laboratories, or services.

 

SabaRX is not responsible for third-party content, products, services, or policies.

 

Your use of third-party services is at your own risk.

XIV. Intellectual Property

All Platform content, trademarks, logos, graphics, software, text, images, and materials are owned by FourConcept Marketing, LLC d/b/a SabaRX or its licensors and are protected by intellectual property laws.

 

No rights are granted except as expressly stated in these Terms.

XV. Disclaimer of Warranties

WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

 

TO THE FULLEST EXTENT PERMITTED BY LAW, SabaRX DISCLAIMS ALL WARRANTIES, INCLUDING:

  • MERCHANTABILITY;
  • FITNESS FOR A PARTICULAR PURPOSE;
  • NON-INFRINGEMENT;
  • SECURITY;
  • ACCURACY;
  • RELIABILITY; AND
  • AVAILABILITY.

 

SabaRX makes no representation or warranty regarding:

  • treatment outcomes;
  • weight loss results;
  • availability of medications;
  • insurance reimbursement;
  • pharmacy fulfillment timelines;
  • uninterrupted access; or
  • clinical appropriateness.

XVI. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, FOURCONCEPT MARKETING, LLC D/B/A SABARX SHALL NOT

BE LIABLE FOR:

  • clinical decisions;
  • prescribing decisions;
  • treatment outcomes;
  • adverse drug reactions;
  • pharmacy fulfillment;
  • compounded medication risks;
  • diagnostic accuracy; or
  • Healthcare Services provided by independent healthcare providers, pharmacies, laboratories, or third-party service providers.

 

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED $100 USD.

 

SOME JURISDICTIONS MAY NOT ALLOW CERTAIN LIMITATIONS, SO PORTIONS OF THIS SECTION MAY NOT APPLY TO YOU.

XVII. Indemnification

You agree to indemnify, defend, and hold harmless FourConcept Marketing, LLC d/b/a SabaRX and its officers, directors, employees, contractors, licensors, and service providers from claims, liabilities, damages, losses, costs, and expenses arising from:

  • your violation of these Terms;
  • misuse of the Platform; or
  • violation of applicable laws.

XVIII. Suspension and Termination

We reserve the right to suspend or terminate access to the Platform at any time for violations of these Terms or for security, operational, legal, or regulatory reasons.

 

Certain provisions of these Terms survive termination, including arbitration, limitation of liability, and indemnification provisions.

XIX. Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY.

 

Any dispute arising out of or relating to these Terms, the Platform, or Services shall be resolved through binding arbitration on an individual basis.

 

YOU WAIVE THE RIGHT TO:

  • TRIAL BY JURY;
  • PARTICIPATION IN CLASS ACTIONS;
  • CLASS ARBITRATIONS; OR
  • REPRESENTATIVE ACTIONS.

 

Arbitration shall be governed by the Federal Arbitration Act and administered by National Arbitration and Mediation (“NAM”).

 

You may opt out of arbitration within thirty (30) days of first accepting these Terms by emailing support@sabarx.com.

XX. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict of law principles.

XXI. Miscellaneous

If any provision of these Terms is found unenforceable, the remaining provisions remain in effect.

 

These Terms constitute the entire agreement between you and SabaRX regarding use of the Platform.

 

Failure to enforce any provision shall not constitute a waiver.
